Terms & Conditions
These terms set out the general conditions under which Mobility Cyber Labs Ltd provides its engineering, research and consultancy services. Specific project requirements, deliverables and commercial arrangements will be agreed separately in writing.
1. Definitions
“Mobility Cyber Labs”, “MCL”, “we” and “us” refer to Mobility Cyber Labs Ltd, a company registered in England and Wales.
“Client” means the organisation or person engaging MCL to provide services.
“Services” means the automotive cybersecurity engineering, research, testing, benchmarking, consultancy and related technical support provided by MCL.
“Project Agreement” means an accepted proposal, statement of work or other written agreement defining the scope and commercial arrangements for a particular engagement.
2. Scope of Services
MCL will provide the Services described in the relevant Project Agreement. The scope, objectives, deliverables, responsibilities and anticipated schedule will be agreed before work begins.
Any changes to the agreed scope, additional investigations or further engineering activities must be approved in writing. Changes may affect project costs and delivery schedules.
Where a Project Agreement contains terms that differ from these general conditions, the expressly agreed project terms will take precedence.
3. Client Responsibilities
The Client will provide the information, access, equipment, technical documentation and cooperation reasonably required for MCL to perform the agreed Services.
The Client is responsible for ensuring that it has the necessary rights and permissions to authorise any testing, security investigation or technical examination requested from MCL.
Any delays in providing information, equipment or access may affect the agreed delivery schedule.
4. Cybersecurity Testing and Investigations
Security testing, vulnerability assessments, technical research and related investigations will be conducted within the scope and permissions agreed with the Client.
Where investigations involve vehicles, electronic control units, software, connected systems or other technical assets, the parties will agree appropriate access and testing arrangements before work begins.
The Client acknowledges that cybersecurity testing may identify vulnerabilities, affect system behaviour or require controlled testing conditions. Any specific operational risks and required precautions will be discussed as part of project planning.
MCL will not intentionally conduct testing outside the agreed scope without appropriate authorisation.
5. Fees and Payment
Project fees, payment schedules, applicable taxes and any agreed expenses will be specified in the relevant Project Agreement.
Additional work or expenditure outside the original scope will require agreement before it is undertaken.
Invoices will be issued and payable according to the payment terms agreed for the project.
6. Confidentiality
MCL recognises the importance of confidentiality in automotive development and cybersecurity research.
Both parties will protect confidential information received during an engagement and use it only for the purposes of the agreed project, unless disclosure is authorised or legally required.
Confidential information may include technical documentation, vehicle data, research findings, security vulnerabilities, software, prototypes, development plans and commercially sensitive information.
Where a separate nondisclosure agreement is in place, its provisions will apply to the confidential information covered by that agreement.
MCL will not publicly identify a Client or disclose confidential project information without appropriate permission.
7. Intellectual Property
Ownership and permitted use of project deliverables, reports, software, prototypes and other materials will be established in the relevant Project Agreement.
Unless otherwise agreed, each party retains ownership of its intellectual property, technical knowledge, methodologies and materials developed independently of the engagement.
The permitted use of any third party materials, software, tools or technologies incorporated into a project will remain subject to their applicable rights and licences.
8. Technical Findings and Recommendations
MCL's investigations, reports and recommendations reflect the agreed scope of work, available information, testing conditions and findings at the time the Services are performed.
Cybersecurity threats, technologies and methods continue to develop. An assessment or test result cannot guarantee that a system is free from every potential vulnerability or future security risk.
The Client remains responsible for decisions concerning implementation, risk acceptance, production deployment and ongoing security management, unless specific responsibilities have been agreed otherwise in writing.
9. Limitation of Liability
The allocation and limits of liability relating to the Services will be governed by the relevant Project Agreement and applicable law.
Nothing in these terms excludes or restricts liability where doing so would be unlawful.
Any agreed financial limits, exclusions or specific responsibilities should be expressly recorded in the Project Agreement.
10. Project Changes and Termination
Either party may request changes to the project scope, schedule or deliverables. Any resulting adjustments to fees or responsibilities will be agreed in writing.
The circumstances in which a project may be suspended or terminated, together with any applicable notice periods, payment obligations and arrangements for work already completed, will be governed by the Project Agreement.
11. Governing Law
Unless otherwise agreed in writing, these terms and the Services provided by Mobility Cyber Labs Ltd will be governed by the laws of England and Wales.
Any agreed arrangements involving other MCL entities or international projects may be subject to separate contractual provisions.
